This 2021 edition of the OECD Corporate Governance Factbook provides a comprehensive account of how the G20/OECD Corporate Governance Principles are implemented around the world.
With comparative information in 50 jurisdictions, including all OECD, G20 and Financial Stability Board members, the Factbook supports informed policymaking by providing up-to-date information on how different countries translate the Recommendations of the Principles into their national legal and regulatory frameworks.
This latest edition of the Factbook confirms that regulatory frameworks related to corporate governance have evolved substantially.
For example, since the Principles were last updated in 2015, 90% of jurisdictions have changed company law or securities law, or both.
Governments have had to significantly adapt their regulatory frameworks to respond to the circumstances imposed by the COVID-19 pandemic, for example by accommodating virtual shareholder meetings and remote electronic voting.
The introduction of stricter requirements for companies and institutional investors to disclose the results of the votes, and for companies to improve their disclosure of related party transactions, has strengthened the responsibility of shareholders and companies.
The Factbook is divided into four main chapters: 1) the overview of the global market and corporate property; 2) corporate governance and the institutional framework; 3) the rights of shareholders and key functions of ownership; and 4) the company’s board of directors.
Each chapter provides an overview with text and images, which helps provide an overview of key trends and variations in approaches taken by different jurisdictions.
It contains comparative information on all 38 OECD members (including now the latest new member of Costa Rica), all members of the G20 and the Financial Stability Board, including Argentina, Brazil, the People’s Republic of China, Hong Kong (China), India, Indonesia, the Russian Federation, Saudi Arabia, Singapore and South Africa, and two additional jurisdictions actively participating in the OECD Corporate Governance Committee, Malaysia and Peru.
